LumLabs — Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at lumlabs.io, related sub-domains, documentation, and any software, dashboards, widgets, or developer tools provided by LumLabs (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

"LumLabs", "we", "our", or "us" means the LumLabs business incorporated under the laws of the Republic of Cyprus. Contact: info@lumlabs.io.

1. Acceptance of Terms

By using the Services, you agree to these Terms and any policies referenced herein (including any updated versions). We may update the Terms at any time by posting a revised version. Your continued use of the Services constitutes acceptance of the updated Terms.

2. Eligibility and User Obligations

You confirm that you:

  • Are at least the age of majority in your jurisdiction (18+ in most countries) and have capacity to enter into a binding contract.
  • Use the Services in compliance with applicable laws and regulations, including sanctions, anti-money laundering (AML), and counter-terrorist financing (CTF) rules.
  • Are not prohibited from using the Services under applicable laws or these Terms.

If you use the Services on behalf of an entity, you represent that you are authorized to bind that entity to these Terms.

3. Restrictions (Sanctioned and Blocked Jurisdictions)

You may not use the Services if you are located in, established in, or a resident of any jurisdiction that is subject to comprehensive sanctions or where use would violate EU, UN, OFAC, UK, or Cyprus sanctions or embargoes. We may block access (including by wallet address, IP, or other signals) where required by law or policy.

4. Services Overview

LumLabs provides information and software tools that help users interact with public blockchain networks (for example: validator-related tooling, infrastructure dashboards, and developer utilities).

  • Non-custodial: LumLabs does not custody user assets. Interactions occur directly on public networks via your self-hosted wallets.
  • No financial/investment services: The Services are technical in nature. We do not provide investment, legal, tax, or financial advice. You are solely responsible for your decisions and on-chain actions.
  • Third-party protocols: Use of any third-party protocol, validator, RPC, bridge, DEX, wallet, or smart contract is at your own risk. We do not control or guarantee third-party code or outcomes.

5. Fees and Transactions

We may charge fees for certain features or transactions. Any applicable fee will be disclosed in-product or at the point of use and may change over time. On-chain network fees are set by the relevant blockchain and are not controlled by LumLabs. All on-chain transactions are final and irreversible.

6. Identity Verification and Compliance

We may request information (e.g., proofs, attestations, or KYC data) to meet legal or compliance obligations and may use third-party providers to perform checks. Failure to provide requested information may result in restricted or terminated access.

7. Prohibited Uses

You agree not to:

  • Engage in illegal, fraudulent, or deceptive activities; interfere with or attack the Services or underlying infrastructure.
  • Circumvent access controls, rate limits, or security measures; use bots/scrapers without permission where prohibited.
  • Infringe intellectual property or other rights; upload or distribute malicious code.
  • Use the Services in violation of sanctions, AML/CTF rules, market-manipulation laws, or any applicable regulation.

We may restrict or disable access if we detect prohibited activity.

8. Risk Disclosure and Disclaimer

Digital assets and decentralized systems involve significant risks, including volatility, smart-contract bugs, key loss, slashing, MEV effects, delays, network outages, forks, and regulatory changes. You assume all risks associated with your use of blockchain networks and third-party protocols.

The Services are provided "AS IS" and "AS AVAILABLE," without warranties of any kind (express, implied, or statutory), including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or uninterrupted availability.

9. Limitation of Liability

To the maximum extent permitted by law, LumLabs and its affiliates, directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of the Services or any blockchain interactions. Our aggregate liability for any claim will not exceed the greater of (a) EUR 100 or (b) the total fees you paid to LumLabs in the 12 months preceding the claim.

10. Termination and Suspension

We may suspend or terminate your access to the Services at any time with or without notice if we believe you have breached these Terms, violated applicable law, or created risk or possible legal exposure. Provisions that by their nature should survive termination do survive (e.g., IP, disclaimers, limitations of liability, indemnities, governing law).

11. Intellectual Property Rights

The Services, including software, content, designs, trademarks, and documentation, are owned by LumLabs or our licensors and protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services. You may not copy, modify, reverse engineer, or create derivative works except as permitted by law.

12. Confidentiality

If, through using the Services, you receive non-public information about LumLabs or our partners, you must keep it confidential and use it only as permitted. This obligation survives termination.

13. Open-Source and Third-Party Components

Some components may be provided under open-source licenses or by third parties. Their licenses and terms govern your use of those components in case of conflict with these Terms.

14. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including network or utility failures, cyberattacks, bugs or defects in third-party software, acts of God, war, strikes, government actions, or regulatory changes.

15. Governing Law and Dispute Resolution

These Terms and any dispute or claim (contractual or non-contractual) arising out of or in connection with them are governed by the laws of the Republic of Cyprus, without regard to conflict-of-law rules.

Venue: The courts of Nicosia, Cyprus shall have exclusive jurisdiction. You agree to bring claims only in your individual capacity (no class, collective, or representative actions), to the extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless LumLabs and its affiliates, officers, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any law or third-party right.

17. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

18. Notices and Contact

We may provide notices by posting on the site, through the Services, or via email. You may contact us at info@lumlabs.io. If you change your email address, you are responsible for updating your contact details.

19. Entire Agreement; No Waiver

These Terms constitute the entire agreement between you and LumLabs regarding the Services and supersede prior agreements on the subject. Failure to enforce any provision is not a waiver.
